Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of the software, websites, and services provided by Equity (“Equity,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The service

Equity provides software that helps small businesses operate customer-ownership and patronage-distribution programs, including tools for transaction tracking, member enrollment, distribution calculation, governance, and tax reporting. The Service is provided on a software-as-a-service basis and may evolve over time.

3. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

• use the Service for any unlawful purpose;
• upload data you do not have the right to provide;
• attempt to access systems or data you are not authorized to access;
• interfere with the integrity or performance of the Service;
• misrepresent your identity or affiliation;
• resell, sublicense, or commercially exploit the Service without our written consent.

5. Customer data

You retain all rights to data you or your customers submit to the Service (“Customer Data”). You grant Equity a limited license to host, process, and transmit Customer Data solely as necessary to provide the Service. Our handling of personal information is described in the Privacy Policy.

6. Third-party services

The Service integrates with third-party platforms (such as point-of-sale, accounting, and payment providers). Your use of those services is governed by their respective terms; we are not responsible for third-party services or their data-handling practices.

7. Intellectual property

The Service, including its software, design, and content, is owned by Equity and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service consistent with these Terms.

8. Fees

Fees, if any, will be communicated to you separately. You are responsible for any taxes other than those based on our net income.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if continued provision of the Service is no longer commercially reasonable. Sections that by their nature should survive termination will survive.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Equity does not provide legal, tax, or accounting advice; you are responsible for your own compliance.

11. Limitation of liability

To the maximum extent permitted by law, Equity will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or related to the Service will not exceed the greater of one hundred U.S. dollars (US$100) or the fees you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold Equity harmless from claims arising out of your Customer Data, your violation of these Terms, or your violation of applicable law.

13. Changes

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California.
